Introduction and Acceptance

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "Client," "Customer") and Nitramix Ltd. ("Company," "we," "us," "our") governing your use of our website (nitramix.com), services, software products, and platform. By accessing, using, or purchasing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must immediately cease all use of our services. These Terms apply to all users, customers, and visitors of our platform, including but not limited to software purchasers, service clients, donors, and blog readers.

Services Description and Scope

Nitramix provides comprehensive digital services including:

  • Web Development Services: Custom website and web application development using Next.js, React, Supabase, and modern technologies
  • Mobile App Development: Native and cross-platform mobile application development for iOS and Android platforms
  • WordPress Maintenance Services: Ongoing support, security updates, performance optimization, and maintenance for WordPress websites
  • Software Products: Commercial software products including Video Gallery for WooCommerce plugin with licensing and distribution
  • Technical Consulting: Professional consulting and technical support services
  • Donation Platform: Secure donation processing, subscription management, and payment handling through Stripe
  • Content Services: Blog content, technical articles, and educational resources
  • Support Services: Customer support, bug fixes, and technical assistance

Account Registration, Security, and Eligibility

Account Creation and Requirements

  • You must be at least 18 years old or have parental/guardian consent to create an account and use our services
  • You must provide accurate, complete, and current information during registration and maintain its accuracy
  • You are responsible for maintaining the confidentiality and security of your account credentials
  • You must notify us immediately of any unauthorized access, use, or security breach of your account
  • You may not share, transfer, or sell your account to any third party
  • We reserve the right to refuse service, terminate accounts, or modify eligibility requirements at our discretion

Security Obligations

  • You are responsible for all activities that occur under your account
  • You must use strong, unique passwords and enable two-factor authentication when available
  • You must log out of your account when using shared or public devices
  • We are not liable for any loss or damage arising from unauthorized use of your account

Payment Terms, Pricing, and Refund Policy

Payment Processing and Authorization

  • All payments are processed securely through Stripe, a PCI DSS Level 1 certified payment processor
  • Prices are listed in USD and are subject to change with 30 days' written notice
  • You authorize us to charge your designated payment method for all fees, taxes, and charges
  • Failed payments may result in immediate service suspension, termination, or additional fees
  • All fees are non-refundable unless otherwise specified in these Terms or required by law
  • You are responsible for all applicable taxes, duties, and fees related to your purchases

Refund and Cancellation Policy

  • Software Products: 7-days money-back guarantee from date of purchase, subject to verification of legitimate use
  • Development Services: Refunds handled according to the selected payment plan and project completion status. See SaaS MVP Development Service Terms for specific refund windows
  • Donations: Donations are non-refundable except in cases of processing errors or fraud
  • Subscriptions: Pro-rated refunds for unused subscription periods upon cancellation
  • WordPress Maintenance: Refunds available within 14 days of service commencement if no work has been performed

Subscription and Recurring Payments

  • Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date
  • You may cancel subscriptions through your account dashboard or by contacting support
  • Price changes for subscriptions will be communicated 30 days in advance
  • Failed subscription payments may result in immediate service suspension

Software Licensing, Usage Rights, and Restrictions

License Grant and Terms

  • Software licenses are non-transferable, non-exclusive, and limited to the specified number of domains/sites
  • Licenses are valid for the duration specified in your purchase agreement
  • You may not redistribute, resell, sublicense, or transfer our software to third parties
  • License keys must be kept confidential and secure; sharing keys is strictly prohibited
  • Each license is valid for one installation per domain as specified in your purchase
  • We reserve the right to revoke licenses for violations of these Terms

Usage Restrictions and Prohibitions

  • Software may only be used for its intended purpose and in accordance with documentation
  • Reverse engineering, decompiling, disassembling, or modifying our software is strictly prohibited
  • You may not use our software for illegal, harmful, or unauthorized purposes
  • License violations may result in immediate termination and legal action
  • You may not remove or modify copyright notices, trademarks, or proprietary markings

Updates and Support

  • Software updates are provided according to your license type and support level
  • Support is provided through designated channels and subject to support terms
  • We are not responsible for compatibility issues with third-party software or systems
  • End-of-life software versions may not receive updates or support

Development Services, Project Terms, and Deliverables

Project Agreement and Scope

  • All development projects require a written agreement, proposal, or statement of work
  • Project scope, deliverables, timelines, and payment schedules are specified in project agreements
  • Client approval is required for major scope changes, which may affect pricing and timelines
  • We retain rights to showcase completed work in our portfolio and marketing materials
  • Project delays caused by client inaction may result in additional fees or project termination

Intellectual Property and Ownership

  • Custom code ownership transfers to client upon final payment and project completion
  • Third-party components, libraries, and frameworks remain under their respective licenses
  • We retain rights to reusable code libraries, frameworks, and development tools
  • Client content, branding, and proprietary materials remain client property
  • We may use project work for portfolio and marketing purposes unless otherwise agreed

Quality Assurance and Acceptance

  • Projects include testing and quality assurance according to industry standards
  • Client acceptance testing period is specified in project agreements
  • Revisions and bug fixes are included according to project scope
  • Post-launch support terms are specified in project agreements

WordPress Maintenance and Support Services

Service Scope and Responsibilities

  • Maintenance services include updates, security monitoring, backups, and performance optimization
  • Service level agreements (SLAs) specify response times and availability guarantees
  • Emergency support is available according to your service plan
  • We are not responsible for issues caused by client modifications or third-party conflicts
  • Client must provide necessary access credentials and maintain reasonable response times

Limitations and Exclusions

  • Services do not include content creation, design changes, or new feature development
  • Third-party plugin conflicts or compatibility issues may require additional fees
  • We are not liable for data loss, though we implement backup procedures
  • Services may be suspended for non-payment or security concerns

SaaS MVP Development Service Terms

Service Overview and Scope

The SaaS MVP Development service is a fixed-price engagement for building a minimum viable product (MVP) of a software-as-a-service application. The following terms apply specifically to this service in addition to all general terms outlined in this agreement.

  • The total project price is as stated on the service page at the time of engagement, covering the full scope as agreed during the Discovery phase
  • The standard delivery timeline is 30 calendar days from the official project kickoff date
  • The scope includes up to 5 core features, user authentication, payment integration, admin dashboard, responsive UI, API development, cloud deployment, and basic documentation
  • The exact scope, features, and deliverables are defined and mutually agreed upon during the Discovery and Planning phase (Days 1-5) and documented in a Project Scope Document
  • Any features, functionality, or requirements not explicitly listed in the signed Project Scope Document are considered out of scope

Payment Schedule and Milestones

The client selects one of the following payment plans at the time of engagement:

  • Option A - Pay in Full (100% upfront): The entire project price is paid before project kickoff
  • Option B - 2 Phases (50% / 50%): 50% due before project kickoff; 50% due upon successful final delivery, deployment, and source code handoff
  • Option C - 3 Phases (20% / 40% / 40%): 20% due before project kickoff (Discovery and Design phase); 40% due after core features, authentication, and dashboard are delivered and reviewed; 40% due upon successful final delivery and deployment

For all payment plans, the following terms apply:

  • Each milestone payment is tied to specific, agreed-upon deliverables as documented in the Project Scope Document
  • The client has 3 business days to review and confirm delivery of intermediate milestones and 5 business days for the final delivery. Silence after the review period constitutes acceptance
  • For milestone payments (Options B and C): Phase 1 is refundable within 14 calendar days of payment. Subsequent phases are non-refundable once paid after client approval
  • For full upfront payment (Option A): 100% refundable within 7 calendar days of payment. After 7 days, partial refund based on completed work

Scope Changes and Additional Work

  • Any changes to the agreed Project Scope Document must be submitted in writing and require mutual consent
  • Scope changes may affect the project timeline, price, or both. Adjusted terms will be communicated in writing before proceeding
  • Additional features or functionality beyond the original scope will be quoted separately at our standard hourly development rate
  • The client is responsible for providing all necessary content, branding assets, and business requirements in a timely manner. Delays in providing these materials may extend the project timeline

Client Responsibilities and Communication

  • The client must designate a single point of contact who has decision-making authority for the project
  • The client must respond to review requests, questions, and approval requests within 2 business days. Delays in client responses may extend the project timeline without additional cost to the client, but the 30-day delivery guarantee will be adjusted accordingly
  • The client must provide all required third-party account credentials (e.g., Stripe account, domain registrar, email service) in a timely manner
  • Up to 2 rounds of design revisions are included in the standard scope. Additional revision rounds may be quoted separately

Intellectual Property and Source Code Ownership

  • Upon receipt of the final Phase 3 payment, the client receives full ownership of all custom source code, database schemas, and project-specific documentation
  • Third-party libraries, frameworks, and open-source components (e.g., Next.js, React, Supabase, Stripe SDK) remain under their respective open-source licenses
  • Nitramix retains the right to use general development patterns, techniques, and non-proprietary code in future projects
  • Prior to receipt of the final payment, all code and deliverables remain the intellectual property of Nitramix Ltd.
  • Nitramix may showcase the completed project in its portfolio and marketing materials unless a non-disclosure agreement (NDA) is signed prior to project kickoff

Post-Launch Support and Warranty

  • 30 calendar days of post-launch bug fix support are included at no additional cost, starting from the date of production deployment
  • Bug fixes cover defects in functionality that was explicitly included in the Project Scope Document. Issues caused by client modifications, third-party service outages, or requirements not in the original scope are not covered
  • After the 30-day support period, ongoing development, maintenance, and feature additions are available at our standard hourly rate under a separate agreement

Delivery Guarantee and Refund Policy

The refund terms depend on the payment plan selected by the client:

Milestone Payments (Option B - 2 Phases or Option C - 3 Phases):

  • Phase 1 payment is made before the project starts. The client may request a full refund of the Phase 1 payment within 14 calendar days of the payment date, upon written request or cancellation
  • All subsequent phase payments are due only after the client has reviewed and approved the corresponding deliverables. Once a subsequent phase payment is made, it is non-refundable
  • If Nitramix fails to deliver an agreed-upon milestone within the project timeline (adjusted for any client-caused delays), the client is entitled to a refund of the payment associated with that uncompleted milestone
  • The client receives deliverables corresponding to all paid and completed milestones only

Full Upfront Payment (Option A - 100%):

  • If the client cancels within 7 calendar days of payment, a 100% refund is provided
  • After the 7-day period, a partial refund may be issued based on the percentage of work completed at the time of cancellation, up until the full project has been delivered
  • Once the project has been fully delivered and deployed, no refund is available
  • The client receives deliverables corresponding to all completed work at the time of cancellation

General Refund Terms:

  • The delivery guarantee applies only when the client has fulfilled all client responsibilities outlined in this section, including timely responses, asset delivery, and milestone approvals
  • All refund requests must be submitted in writing via email to contact@nitramix.com
  • Refunds are processed within 10 business days of approval

Project Termination

  • Either party may terminate the project with 5 business days written notice
  • Upon termination by the client, all completed milestone payments are non-refundable. The client receives deliverables corresponding to paid milestones
  • Upon termination by Nitramix (other than for client non-payment or breach), the client receives a full refund of payments for uncompleted milestones plus any partial work completed on the current milestone
  • If the project is inactive for more than 14 consecutive calendar days due to client unresponsiveness, Nitramix reserves the right to terminate the project. In this case, the same termination terms apply as client-initiated termination

Limitations and Exclusions

  • The SaaS MVP service does not include ongoing hosting costs, third-party service subscription fees (e.g., Stripe fees, email service costs, domain registration), or app store submission fees
  • Nitramix is not responsible for the commercial success, user adoption, or revenue generation of the delivered MVP
  • The delivered MVP is a minimum viable product designed for market validation. It may require additional development for scaling to large user bases
  • Nitramix does not provide legal advice regarding data privacy compliance (GDPR, CCPA, etc.). The client is responsible for ensuring their product complies with applicable regulations

Donation Platform and Subscription Management

Donation Terms and Processing

  • Donations are processed securely through Stripe and are generally non-refundable
  • Recurring donations continue until cancelled by the donor
  • Donor information is collected and used according to our Privacy Policy
  • We reserve the right to refuse or return donations that violate our policies
  • Donation amounts and frequencies may be modified or cancelled at any time

Tax and Legal Compliance

  • Donors are responsible for determining tax deductibility of their contributions
  • We provide donation receipts for tax purposes when required
  • Donations are subject to applicable laws and regulations
  • We may be required to report certain donation information to authorities

Blog Content, Comments, and User-Generated Content

Content Usage and Licensing

  • Blog content is provided for educational and informational purposes only
  • You may share and link to our content with proper attribution
  • Commercial use of our content requires written permission
  • We are not liable for any decisions made based on our content

User Comments and Contributions

  • Comments must be respectful, relevant, and comply with community guidelines
  • We reserve the right to moderate, edit, or remove comments at our discretion
  • Users retain ownership of their comments but grant us license to display them
  • Spam, harassment, or inappropriate content will be removed

Prohibited Uses and Acceptable Use Policy

You agree not to use our services for any of the following prohibited purposes:

  • Any illegal, fraudulent, or unauthorized activities
  • Violating intellectual property rights, copyrights, or trademarks
  • Transmitting malware, viruses, spyware, or other harmful code
  • Attempting to gain unauthorized access to our systems, networks, or data
  • Interfering with service availability, performance, or security
  • Harassing, abusing, threatening, or harming others
  • Violating applicable laws, regulations, or industry standards
  • Circumventing security measures or license restrictions
  • Using our services for spam, phishing, or other malicious activities
  • Attempting to reverse engineer or copy our proprietary technology

Intellectual Property Rights and Ownership

All content, services, and intellectual property are protected by applicable laws:

  • Website content, design, and functionality are owned by Nitramix Ltd.
  • Software products are protected by copyright, trademarks, and licensing terms
  • You may not copy, modify, distribute, or create derivative works without permission
  • Third-party content is used with permission or under appropriate licenses
  • Our trademarks and service marks may not be used without written consent
  • Violations may result in immediate termination and legal action

Limitation of Liability and Disclaimers

To the maximum extent permitted by applicable law:

  • We provide services "as is" and "as available" without warranties of any kind
  • We disclaim all warranties, express or implied, including merchantability and fitness for purpose
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • Our total liability is limited to the amount paid for the specific service in question
  • We are not responsible for third-party actions, content, or services
  • Force majeure events may affect service availability without liability
  • Data loss or corruption is not covered unless caused by our gross negligence

Service Availability, Maintenance, and Support

  • We strive for high availability but cannot guarantee 100% uptime
  • Scheduled maintenance will be announced at least 24 hours in advance when possible
  • Emergency maintenance may occur without prior notice to ensure security and stability
  • We are not liable for service interruptions, data loss, or performance issues
  • Backup and recovery procedures are implemented but not guaranteed
  • Support response times are subject to service level agreements
  • Service availability may vary by region and network conditions

Termination, Suspension, and Account Closure

We may terminate, suspend, or limit your access to our services for the following reasons:

  • Violation of these Terms of Service or applicable policies
  • Non-payment of fees or subscription charges
  • Fraudulent, illegal, or unauthorized activities
  • Abuse of services or resources
  • At our discretion with reasonable notice for business reasons
  • Upon your request to close your account
  • Extended periods of account inactivity

Upon termination, your access to services will cease immediately, and we may delete your data according to our data retention policies.

Governing Law, Jurisdiction, and Dispute Resolution

  • These Terms are governed by and construed in accordance with the laws of Bulgaria
  • Any disputes will first be resolved through good faith negotiation and mediation
  • Legal proceedings may be brought in the courts of Bulgaria, and you consent to jurisdiction
  • You waive any right to participate in class action lawsuits or representative proceedings
  • If any provision is found to be invalid or unenforceable, the remaining provisions remain in full effect
  • Our failure to enforce any right or provision does not constitute a waiver
  • These Terms constitute the entire agreement between you and Nitramix Ltd.

Changes to Terms and Notification

We reserve the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. Changes will be effective immediately upon posting on our website. Your continued use of our services after changes constitutes acceptance of the new Terms. We will notify you of material changes via email, website notice, or other reasonable means. It is your responsibility to review these Terms periodically for updates.
